1. Agreement to Terms
By accessing or using Zuro ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
2. Description of Service
Zuro is a knowledge base platform that allows users to create, manage, and publish knowledge bases. The Service includes AI-powered content generation, analytics, customization features, API access, and integration with third-party automation platforms such as Zapier (subject to subscription tier). Professional and Enterprise tier subscribers have access to Zapier integration, which enables workflow automation and connections with other applications.
3. User Accounts
To use certain features of the Service, you must register for an account. You must be at least 16 years old to use the Service, or have parental consent if you are under 16. If you are under the age of digital consent in your jurisdiction, do not use the Service or obtain parental consent before doing so. By creating an account, you represent and warrant that you meet this age requirement.
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
- Not create multiple accounts to circumvent subscription limits or restrictions
You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.
4. Subscription Plans and Billing
Zuro offers various subscription plans with different features and limits:
- Free Plan: Limited features, 1 knowledge base, 10 articles per KB
- Starter Plan: £29/month - 3 knowledge bases, 100 articles per KB, PDF export, API access
- Professional Plan: £149/month - 10 knowledge bases, 500 articles per KB, Advanced analytics, JSON export
- Enterprise Plan: Custom pricing - Unlimited knowledge bases and articles, Custom domains, White label, All export formats
Billing:
- Subscriptions are billed monthly in advance
- All fees are non-refundable except as required by law (see Refund Policy below)
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
- We reserve the right to change pricing with 30 days' notice
- Free trials may be offered at our discretion
- If payment fails, we may suspend your account until payment is resolved
Refund Policy: Under UK Consumer Rights Act 2015, you have the right to cancel your subscription within 14 days of purchase and receive a full refund, provided paid features have not been actively used, including generating AI content or publishing knowledge base articles. After this period, refunds are at our discretion. If you cancel mid-billing period, you will continue to have access until the end of the paid period, and no partial refunds will be issued unless required by law.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Infringe upon intellectual property rights of others
- Upload malicious code, viruses, or other harmful software
- Attempt to gain unauthorized access to the Service or other accounts
- Use automated systems (bots, scrapers) to access the Service without permission
- Interfere with or disrupt the Service or servers
- Use the Service to send spam or unsolicited communications
- Impersonate any person or entity
6. Content and Intellectual Property
Your Content: You retain all ownership rights to content you create, upload, or publish through the Service. By using the Service, you grant Zuro a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for the purpose of providing the Service.
Zuro's Intellectual Property: The Service, including its software, design, features, and documentation, is owned by Zuro and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.
AI Output Ownership and Rights: AI outputs generated by your prompts or uploaded content remain your property. We only license such outputs to you for use as part of the Service. We do not claim ownership of your generated content. However, you acknowledge that AI-generated content may not be unique and may be similar to content generated for other users.
6.1 AI Processing and Opt-Out
When you use AI features in the Services, content you submit (including knowledge base text, prompts, and file contents) is processed by third-party AI service providers to generate responses. These providers may use submitted content to improve their models. You can opt out of third-party AI training via the Privacy Preferences section of your Zuro account. When you opt out:
- We will configure the service to exclude your content from training processes.
- AI generation features will continue to function for your account.
- Certain model improvements that depend on third-party training may not apply to opted-out content.
You can opt out of third-party AI model training through your account's Privacy Preferences in Zuro. When you opt out, Zuro will configure AI processing so that your content is not used for training purposes. AI generation features will continue to function for your account, though certain improvements that depend on model training may not apply to opted-out content. You acknowledge that processing of content by third-party AI service providers is governed by their terms and privacy policies.
6.2 AI Content Disclaimer
AI-generated content is provided "as is" and may be inaccurate or incomplete. You are responsible for reviewing and approving content before publishing or relying on it.
You acknowledge that we make no warranties regarding the accuracy, completeness, or suitability of AI-generated content for any particular purpose. You are solely responsible for any reliance on AI output and must review and validate all AI-generated content before publishing, sharing, or operational use.
6.3 Third-Party Services
The Service relies on third-party services to function. By using the Service, you acknowledge that:
- Payment Processing: Payments are processed by third-party payment processors. You agree to the payment processor's terms of service and privacy policy when making payments.
- AI Services: AI features are powered by third-party AI service providers. We rely on reputable AI service providers to process content for AI features. You acknowledge that use of your content by those providers is governed by their terms and privacy policies.
- Hosting and Infrastructure: The Service is hosted on cloud infrastructure providers and uses cloud database services for data storage. Your data is subject to these providers' terms and privacy policies.
- Integration Services: Professional and Enterprise tier subscribers may use Zapier to automate workflows and connect Zuro with other applications. Your use of Zapier is subject to Zapier's Terms of Serviceand Privacy Policy. We are not responsible for any issues arising from the use of Zapier or other third-party integration services.
- Service Availability: We are not responsible for outages or issues caused by third-party service providers, though we will work to minimize disruption.
We are not liable for any actions, errors, or omissions of third-party service providers. Your relationship with third-party providers is governed by their respective terms of service. If you would like to know the specific providers we use, please contact us at support@zuro.me.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. We take data protection seriously and implement appropriate security measures. However, you are responsible for backing up your content regularly. We are not liable for any loss of data, including data loss resulting from system failures, third-party service issues, or accidental deletion.
Our data retention and deletion policies are detailed in our Privacy Policy. You are responsible for exporting and maintaining copies of your content, especially before account termination or subscription cancellation.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may perform maintenance, updates, or modifications that temporarily affect availability. We reserve the right to modify or discontinue the Service at any time with reasonable notice.
9. Limitation of Liability
To the maximum extent permitted by law:
- Zuro is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement
- We do not guarantee that the Service will meet your requirements or be error-free, uninterrupted, or secure
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
- Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater
- This liability limitation applies to all AI features, third-party integrations, and generated outputs
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law
Indemnification: You agree to indemnify, defend, and hold harmless Zuro, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your infringement of any rights of another party
- Your misuse of AI functions or reliance on AI outputs without validation
10. Termination
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activity
Upon termination, your access to the Service will end. You may export your content prior to account closure. After closure, data may be permanently deleted in line with our retention policy.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
International Users: For non-UK residents, UK law still governs these Terms. Any international enforcement will follow relevant treaties and applicable laws. By using the Service from outside the UK, you consent to the application of English and Welsh law and the jurisdiction of the courts of England and Wales.
Dispute Resolution: Before initiating legal proceedings, we encourage you to contact us at support@zuro.me to attempt to resolve any disputes amicably. If a dispute cannot be resolved through direct communication, you may have the right to refer the matter to alternative dispute resolution services, where applicable.
Consumer Rights: If you are a consumer, nothing in these Terms affects your statutory rights under UK consumer protection legislation, including the Consumer Rights Act 2015.
13. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zuro regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party service providers.
Compliance with Laws: You agree to comply with all applicable laws, regulations, and ordinances in connection with your use of the Service. You are responsible for ensuring that your use of the Service does not violate any laws in your jurisdiction.
